Description

The primary focus of the book is on the contract for sale of goods under UCC Article 2. There are frequent discussions of legislative history and changes made in the latest drafts of Revised Article 2. Also, the United Nations Convention on Contracts for the International Sale of Goods (CISG) is analyzed and compared throughout the text. The intersections between Article 2 and Revised Article 9 are also identified and discussed. In addition, these materials feature frequent discussion of and comparison to the relevant sections of UCC Article 2A, Leases, and the Uniform Computer Information Transactions Act (UCITA). The discussion usually is in the form of notes and questions. Finally, the relevant provisions of the Uniform Electronic Transactions Act (UETA) and the federal "E-Sign" legislation are treated to the extent that those statutes relate to electronic commerce issues. The book contains twelve chapters. A consistent methodology is followed throughout the book. Each chapter contains original text setting up and analyzing the materials, problems designed to facilitate student understanding, carefully selected and edited cases, short notes discussing particular issues, and, in some cases, excerpts from secondary sources. For example, most of the problems are based upon a basic business situation set forth early in the text. The facts are varied for each chapter. Also, the cases are selected to show good courts struggling with hard questions under the UCC and the methodology used to reach sound outcomes. The materials in this book require students to hone their skills in reading and interpreting statutes, analyzing judicial opinions, and understanding the policies underlying UCC Article 2. The materials also assume that lawyers with commercial and consumer clients will encounter transactions that overlap with other articles of the UCC and state and federal law outside of the Code. Thus, the students are made aware of the law world around Article 2 and how it impacts upon the contract for sale.
